These Terms of Service (“Terms”) govern your access to and use of SparkyRole, including the SparkyRole web application, marketing website, mobile features, APIs, and related services (collectively, the “Service”). The Service is provided by SparkyRole (“SparkyRole,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Accounts & eligibility
To use most parts of the Service you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at charlespeytonlewis@gmail.com if you suspect unauthorized access.
You must be at least 18 years old and able to form a binding contract to use the Service. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.
2. Access & license
Subject to your compliance with these Terms and timely payment of fees, SparkyRole grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We may add, remove, or change features at any time. The Service is provided as a hosted subscription and not as a downloaded copy of software.
3. Plans, billing & trials
SparkyRole offers monthly and annual subscription plans. Fees are billed in advance and are non-refundable except where required by law. Annual plans are billed once per year; monthly plans are billed each month on the same calendar day.
- You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period.
- Free trials, when offered, automatically convert to a paid subscription at the end of the trial period unless cancelled.
- Fees may change with at least 30 days’ notice; changes will not apply retroactively to your current billing period.
- Taxes (sales, VAT, GST, or similar) are your responsibility unless we are legally required to collect them on your behalf.
Payments are processed by third-party payment processors. By providing payment information you authorize us and our processors to charge the applicable fees to your selected payment method.
4. Beta pricing lock-in
During our launch period, SparkyRole may offer “beta” pricing on Solo, Crew, and Pro plans. If you start a paid subscription while beta pricing is in effect, your then-current plan’s base price will remain unchanged for as long as your subscription remains continuously active on that plan. The lock-in does not apply if you cancel and later re-subscribe, downgrade and later upgrade across tiers, change billing cycle (e.g. switch from monthly to annual), or if we discontinue the plan. Add-ons, overage charges, and taxes are not covered by the lock-in and may change at any time.
5. Your content
The Service is designed to help you manage project information you create, upload, or import — including job notes, photos, videos, voice recordings, scopes, estimates, proposals, invoices, schedules, daily logs, punch lists, subcontractor and client contact information, and similar content (your “Content”).
You retain all rights in your Content. You grant SparkyRole a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, and display your Content solely as necessary to operate, secure, support, and improve the Service. You are responsible for the legality of your Content and for having the necessary rights and permissions to upload it (including any photos of people or jobsites and any client information).
6. AI features
Some features — including AI-generated scopes, estimates, plan takeoffs, and voice-to-punch-list parsing — rely on third-party large language models and machine-learning services. AI output may be inaccurate, incomplete, or inappropriate for your situation. You are responsible for reviewing all AI-generated content before relying on it, sharing it with clients, or using it in legally binding documents. SparkyRole makes no warranty that AI-generated quantities, prices, schedules, or recommendations are correct.
AI usage limits per plan are described on our pricing page. We may impose reasonable rate limits and additional safeguards to prevent abuse and protect Service stability. Limits and underlying models may change.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, harassing, or harmful purpose;
- Reverse engineer, decompile, or attempt to extract the source code of the Service;
- Resell, sublicense, or expose the Service to third parties as a substitute service without our written consent;
- Upload malware, scan, probe, or test the security of the Service without authorization;
- Use automated means to access the Service in a way that imposes unreasonable load, or that circumvents rate limits;
- Submit personal data of others without a lawful basis or appropriate notice and consent;
- Use AI features to generate content that is defamatory, infringing, deceptive, or that violates applicable law.
8. Third-party services
The Service integrates with third-party services such as payment processors, email providers, file storage, AI model providers, and document signing tools. Your use of those services is governed by their own terms and privacy policies. SparkyRole is not responsible for outages, errors, or actions of third-party services.
9. Intellectual property
The Service, including the SparkyRole name, logo, software, design, text, and underlying technology, is owned by SparkyRole and protected by intellectual-property laws. We reserve all rights not expressly granted in these Terms. Feedback you voluntarily provide may be used by us without restriction.
10. Suspension & termination
We may suspend or terminate your access to the Service if you breach these Terms, if your account is delinquent, if we reasonably believe your use poses a security or legal risk, or if required by law. You may terminate at any time by cancelling from your account settings. On termination, your right to use the Service ends. We may retain your data for a reasonable period to comply with legal obligations and recover from technical issues; you may request deletion as described in our Privacy Policy.
11. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. SparkyRole disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI-generated output will be accurate or suitable for your business decisions, contracts, bids, or filings.
12. Limitation of liability
To the maximum extent permitted by law, SparkyRole and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or relating to your use of the Service. SparkyRole’s total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid SparkyRole in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
13. Indemnification
You will defend, indemnify, and hold harmless SparkyRole and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your work product, contracts, or representations made to your customers or subcontractors.
14. Governing law & disputes
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Texas, and you and SparkyRole consent to the exclusive jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect (or sooner where required by law). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. The “Last updated” date at the top reflects the most recent revision.
